7 Essential Company Domicile Compliance Safeguards

Opening a Branch in Lombok? Don’t Confuse It With Changing Your Domicile

A company headquartered in Bali may reach a point where Lombok becomes the next logical market. Perhaps clients are increasing, a local team is needed, or operations require a permanent presence on the island. The company rents an office in Lombok and begins preparing staff and operations.

Does that automatically mean its legal domicile has moved from Bali to Lombok?

Not necessarily.

Understanding Company Domicile Compliance is important because a company’s registered domicile, head office, and additional business locations are related but not always identical concepts. Expanding into Lombok can trigger licensing, location, tax, and corporate-record considerations without automatically becoming a relocation of the company’s legal seat.

1. Start With the Meaning of Company Domicile

Under Indonesia’s Company Law, Law No. 40 of 2007 on Limited Liability Companies, a company’s articles of association must state its place of domicile within Indonesia. Article 5 further provides that a company has a full address corresponding to its domicile.

The elucidation of Article 5 explains that the company’s place of domicile is also its head office.

This makes Company Domicile Compliance more than simply choosing an address for correspondence. The domicile is part of the company’s constitutional corporate information.

2. A New Lombok Office Is Not Automatically a Domicile Change

Consider a Bali company that wants a permanent team in Mataram or another part of Lombok. Its management, registered head office, and legal domicile remain in Bali, while the Lombok location supports local operations.

For Company Domicile Compliance, the first question should be whether the business is genuinely relocating its head office or merely adding another place of business.

If the head office and legal seat remain in Bali, describing every new location as a “domicile change” can create confusion. Conversely, treating the Lombok office as irrelevant can also be risky if activities there require updates or additional licensing.

3. Check OSS Before Starting Operations

Indonesia’s current risk-based licensing framework is Government Regulation No. 28 of 2025, which replaced Government Regulation No. 5 of 2021. Business licensing is administered through the OSS system according to the risk and characteristics of each business activity.

Therefore, Company Domicile Compliance should be reviewed alongside OSS location data.

A company keeping its Bali domicile but adding Lombok operations should check whether the new location needs to be reflected as an additional business or project location, whether spatial requirements apply, and whether the existing licensing covers the activity conducted there.

4. Domicile and Business Location Serve Different Purposes

A company can have a registered legal domicile and conduct approved business activities at additional locations, subject to the requirements applying to those locations and activities.

Current OSS guidance specifically requires business-location information during relevant licensing processes, including location details and coordinates. This illustrates why an additional operational location can matter even when the company’s legal domicile remains unchanged.

5. Review Whether Corporate Documents Need Changes

Because the place of domicile is stated in the articles of association, changing it can require corporate action and updates through the relevant legal-administration process. The precise steps should be determined according to the proposed change and current corporate documents.

For Company Domicile Compliance, companies should compare their deed and articles, AHU information, OSS data, tax records, contracts, banking information, invoices, employment documents, and other records.

If the head office actually moves, leaving the old Bali domicile across corporate systems can create the opposite problem: records that no longer reflect reality.

6. Do Not Forget Lombok-Specific Location Requirements

Under the current risk-based licensing framework, basic requirements can include spatial-use, environmental, and building-related requirements where applicable. PP No. 28 of 2025 also regulates business licensing, supporting business licenses, OSS services, supervision, and sanctions.

Before signing a long lease, confirm that the Lombok premises can support the intended activity. Depending on the business, this may involve checking spatial planning, building use, environmental obligations, and sector-specific requirements.

7. Treat Expansion as a Compliance Review Point

When opening in Lombok, assess whether the company will conduct the same KBLI activities, employ additional workers, add assets, enter new contracts, or operate a new project. Review whether these changes affect OSS information, investment reporting, tax administration, employment obligations, or other permits.

For PT PMA businesses, Company Domicile Compliance should also be considered together with investment and reporting obligations under the current OSS framework and Minister of Investment and Downstream Industry/Head of BKPM Regulation No. 5 of 2025. That regulation remains in force and governs procedures for risk-based business licensing and investment facilities through OSS.

Before opening the doors in Lombok, businesses should verify their Company Domicile Compliance, new-location requirements, and corporate records together.

Questions

Frequently asked

No. Opening an additional location does not, by itself, necessarily mean the company has changed the legal domicile stated in its articles. The actual structure and corporate decisions should be reviewed.

Potentially, yes. However, Company Domicile Compliance and the licensing requirements for the additional location should be reviewed based on the activity and location.

It may need to be reflected in the company’s business or project location information depending on how the operation is structured. Current OSS procedures specifically use business-location data, so the proposed expansion should be checked before operations begin.
