Business licenses Indonesia: Your Business Has Expanded, But Have Your Licenses Expanded With It?
A company rarely stays exactly as it was on establishment day. A villa operator may start with accommodation, then add a restaurant, spa, scooter rental, airport transfers, tours, events, or other guest services as demand grows. Commercially, that may be sensible. Legally, every expansion deserves another look.
Business licenses Indonesia should reflect the activities a company actually conducts, not only the activities originally planned. Under Government Regulation No. 28 of 2025, Indonesia uses risk-based business licensing through OSS. The framework covers basic requirements, business licensing, supporting business licenses, OSS services, supervision, and sanctions. This means growth can create new compliance questions.
1. Map What Your Business Does Today
Start with reality. List every service the company currently sells, operates, invoices, promotes, or directly provides.
For Business licenses Indonesia, this exercise matters because two companies using the same marketing description can have different regulatory profiles. One villa may simply provide rooms. Another may operate accommodation, prepare meals, run a spa, rent vehicles, arrange paid transportation, and sell excursions.
2. Compare Those Activities With Your KBLI
The next step is comparing actual activities with the company’s registered KBLI classifications. KBLI 2025, issued by BPS in December 2025, is now the relevant classification framework.
Business licenses Indonesia should not be reviewed by looking only at old KBLI numbers. The official OSS conversion tool shows whether KBLI 2020 codes were unchanged, changed, split, merged, or restructured under KBLI 2025. OSS also warns that a conversion result does not automatically mean every resulting code fits a particular business.
3. Do Not Treat the NIB as a Universal License
An NIB is fundamental, but it should not be interpreted as blanket permission for every activity a company later decides to offer.
Under PP No. 28 of 2025, Business licenses Indonesia follow a risk-based approach. Depending on the activity and risk level, additional business licensing, standards, certificates, or Business Licenses to Support Business Activities may apply.
4. Adding a Restaurant Changes the Question
Suppose a villa originally provided accommodation and later opens a restaurant available to guests or the public. Management should not simply assume food and beverage operations are covered by the accommodation activity.
For Business licenses Indonesia, examine whether the restaurant is a genuine separate business activity, which entity operates it, how revenue is received, and what licensing requirements apply. The OSS conversion database itself shows restaurant-related classifications changed under KBLI 2025, reinforcing the need to check current classifications rather than old assumptions.
5. Spa Services Need Their Own Review
Business licenses Indonesia should be reviewed according to the actual model. Is the company operating the spa itself? Is an independent licensed provider renting space? Does the villa merely refer guests to a third party?
6. Rentals and Transportation Can Be Separate Activities
For Business licenses Indonesia, determine whether the company owns and rents vehicles, directly transports passengers, receives a commission from an independent provider, or simply introduces guests to another business.
The current OSS conversion database illustrates why classification should be checked carefully: some transportation classifications were split into more specific KBLI 2025 codes.
7. Tours and Experiences Need Clear Roles
A property may eventually sell snorkeling trips, cultural tours, hiking, boat trips, or other experiences. Before treating them as another hotel amenity, determine the company’s actual role.
Business licenses Indonesia can differ depending on whether the company operates the activity, packages and sells it, acts as an intermediary, or merely refers guests to an independent operator.
8. Expansion Can Affect More Than KBLI
Business licenses Indonesia should be reviewed alongside the company’s corporate purposes, OSS records, business location, spatial compatibility, building use, environmental requirements, employment arrangements, tax administration, and foreign-investment conditions where relevant.
For a PT PMA, adding an activity should also trigger a review of whether that activity is open to foreign investment and whether applicable investment requirements are satisfied. The structure should be reviewed before the service becomes a permanent part of operations.
9. Understand the KBLI 2025 Transition
In April 2026, the government confirmed that adoption of KBLI 2025 does not, by itself, require existing businesses to obtain new licenses. Existing licenses remain valid merely through the classification transition. Where there is no substantive change to business purposes or scope, system adjustments may be handled automatically through AHU and OSS.
Business licenses Indonesia require a different analysis when the company genuinely adds new activities. A restaurant, spa, rental operation, or tour service introduced after establishment is not simply a technical conversion issue.
10. Build Licensing Reviews Into Growth
Business licenses Indonesia should therefore be part of the expansion process. Before launching a meaningful new activity, ask what the activity is, which entity will perform it, how it will earn revenue, which KBLI applies, and what additional requirements follow.
