Critical AHU Annual Reporting Deadlines to Avoid in 2026

Indonesia Introduces Administrative Sanctions for Overdue PT Annual Reports

Imagine a Bali-based PT PMA completing its tax returns and shareholder meeting, only to discover that its annual report approval was never submitted through the government corporate registry. The company assumes everything is finished. Under the updated AHU Annual Reporting framework, that assumption could create administrative complications.

Minister of Law Regulation No. 49 of 2025 introduces electronic reporting requirements and sanctions for qualifying limited liability companies. Directors and notaries should understand the required filings.

Why AHU Annual Reporting Matters

AHU Annual Reporting concerns the annual report approval of a capital-based limited liability company, known as a perseroan persekutuan modal. It is distinct from filing corporate income tax returns or submitting investment activity reports, known as LKPM.

The Directorate General of General Legal Administration, or Ditjen AHU, administers the Legal Entity Administration System, known as SABH. Under Article 16 of Regulation No. 49 of 2025, directors present the annual report to the General Meeting of Shareholders, or RUPS, after supervisory board review, within six months after the financial year ends.

Approval must be recorded in a notarial deed. The directors, through a notary, then submit that approval electronically to the Minister through SABH within thirty days after the deed is signed. AHU Annual Reporting therefore involves two separate clocks: the shareholder approval deadline and the subsequent electronic submission deadline.

What Documents Must Companies Prepare?

Article 16 identifies the notarial deed approving the annual report and the annual report itself as supporting documents. The report should cover financial statements, company activities, social and environmental responsibility, material operational issues, supervisory board activities, directors and commissioners, and their remuneration.

Financial statements include comparative accounts and explanatory notes. Separate statutory audit requirements may apply.

For AHU Annual Reporting, a completed shareholder meeting without a properly documented deed and electronic filing may leave an essential step outstanding. Companies should request filing confirmation from their notaries and retain the receipt with their corporate records.

What Changes in November 2026?

The regulation establishes the underlying AHU Annual Reporting obligations. Implementation announcements throughout 2026 have described transitional arrangements, including postponement of administrative sanctions. Reports about the exact enforcement dates have not always been consistent.

The timetable supplied in Ditjen AHU’s reported update identifies November 2026 for the thirty-day submission requirement, written warnings during December 2026, and potential access blocking beginning January 2027 for outstanding 2025 reporting. However, the regulation itself does not prescribe those specific calendar dates as universal statutory deadlines.

Companies should treat AHU Annual Reporting as an existing compliance obligation and verify the latest operational schedule directly with AHU or their notary. Do not assume a transition period eliminates the underlying reporting duty.

Can SABH Access Be Blocked?

Yes. Articles 17 and 18 provide for written warnings and subsequent access blocking. A warning can be delivered through SABH notification or email. If the company does not fulfill its obligation within thirty days after the relevant warning notification, SABH access may be blocked.

For AHU Annual Reporting, this matters because restricted access can complicate corporate changes requiring registry services, including certain amendments and updates. The regulation provides procedures to remove blocks.

Blocking is not the same as automatic dissolution, cancellation of the company’s business license, or an immediate monetary fine. These consequences differ.

Is the Government Filing Fee Temporarily Zero?

Public reporting has described a temporary zero-rupiah non-tax state revenue tariff for the relevant reporting service during the transition. The supplied AHU announcement indicates this arrangement runs until December 31, 2026.

Because fee policies can depend on the specific service and current administrative decisions, confirm the applicable tariff when submitting. AHU Annual Reporting should not be delayed for fee benefits.

What About the 2026 Financial Year?

For companies using a calendar financial year, annual reports for 2026 would ordinarily be presented for shareholder approval within six months after December 31, 2026. The reported operational window for submitting 2026 reports runs from January 2 through June 30, 2027.

However, AHU Annual Reporting deadlines depend on the company’s financial year, the date of its shareholder approval deed, and applicable operational instructions. A company incorporated during 2026 or whose financial year has not ended should determine its first applicable reporting period rather than automatically assuming an overdue obligation.

Practical Steps for Directors and Investors

Start by checking whether the 2025 annual report was prepared, reviewed, approved, notarized, and submitted. Request evidence of SABH acceptance.

Next, reconcile corporate records: shareholder information, directors, commissioners, registered business activities, and current licensing information. AHU Annual Reporting is a distinct process, but discrepancies across AHU and OSS records can complicate subsequent transactions.

Create an internal calendar covering financial year close, supervisory review, shareholder meetings, notarial signing, and electronic submission. AHU Annual Reporting should be reviewed whenever corporate governance responsibilities change or new directors are appointed. Assign an accountable director or compliance officer. For AHU Annual Reporting, documentation and follow-up are as important as preparing the report itself.
